1. ACCEPTANCE OF TERMS

Welcome to KPDir.com (“Platform”, “Website”, “KPDir”, “we”, “us”, or “our”).

KPDir.com is a business listing and discovery platform that allows businesses, individuals, service providers, professionals, and other eligible entities to submit, manage, promote, and display business-related information.

By accessing, browsing, registering on, submitting information to, or using any service provided through KPDir.com, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions, our Privacy Policy, KYC / Verification Policy, Refund & Cancellation Policy, and any other applicable policy incorporated into these Terms.

IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

These Terms constitute an agreement between you and the legally identified operator of KPDir.com, subject to applicable law.


2. DEFINITIONS

For the purposes of these Terms:

  1. “User” means any individual, business, organization, professional, advertiser, visitor, or other person accessing or using the Platform.
  2. “Business Owner” means an individual or entity submitting or managing a business listing.
  3. “Listing” means any business profile, directory entry, advertisement, service description, promotional content, or business information published on the Platform.
  4. “Paid Services” means any subscription, premium listing, advertising package, featured placement, verification service, or other chargeable service.
  5. “KYC” means identity, business, ownership, or document verification performed by or on behalf of KPDir.
  6. “Content” means text, images, logos, videos, documents, reviews, contact details, trademarks, and other materials submitted or displayed on the Platform.
  7. “Third-Party Services” means payment gateways, communication services, analytics services, external websites, and other services operated by third parties.
  8. “Account” means a registered user or business account associated with the Platform.

3. ELIGIBILITY AND AUTHORITY

3.1 You must provide accurate information when registering or submitting a listing.

3.2 If you are acting on behalf of a business, company, partnership, organization, or another person, you represent that you have the authority to act on their behalf.

3.3 You must comply with all applicable laws and regulations relevant to your use of the Platform.

3.4 Users must not use the Platform if their access is prohibited under applicable law.

3.5 If a user is below the legally applicable age for entering into the relevant transaction, they must not independently purchase Paid Services where the law requires adult capacity or authorized consent.

3.6 KPDir may request additional information to establish identity, authority, business ownership, or eligibility.


4. NATURE OF THE PLATFORM

4.1 KPDir provides a digital directory and business discovery service.

4.2 KPDir may display business information, contact details, categories, locations, images, promotional content, and other information submitted by users or obtained from permitted sources.

4.3 KPDir does not automatically become the owner, employer, agent, partner, representative, or legal representative of every business listed on the Platform.

4.4 A listing, verification badge, featured position, or publication on KPDir does not, by itself, constitute a guarantee that the business is financially reliable, legally compliant, qualified, safe, or suitable for a particular transaction.

4.5 Users must independently verify important information before entering into any commercial, personal, or contractual relationship with a listed business.

4.6 KPDir may change, improve, suspend, restrict, or discontinue any feature or service, subject to applicable law and contractual obligations.


5. USER REGISTRATION AND ACCOUNT SECURITY

5.1 Users must provide complete, accurate, and current registration information.

5.2 You are responsible for maintaining the confidentiality of your login credentials.

5.3 You must immediately notify KPDir if you suspect unauthorized access, account compromise, or misuse of your account.

5.4 You must not:

  • Create an account using another person’s identity without authorization.
  • Impersonate any person, business, or organization.
  • Create duplicate accounts to manipulate listings or reviews.
  • Share account credentials in a manner that compromises security.
  • Use false or misleading registration information.

5.5 KPDir may restrict, suspend, or terminate an account where there is a reasonable basis to believe that the account is involved in fraud, abuse, security risks, or a violation of these Terms, subject to applicable law.

5.6 Account holders remain responsible for activity conducted through their accounts, except to the extent prohibited by applicable law or caused by KPDir’s own failure to meet its legal obligations.


6. BUSINESS LISTING REQUIREMENTS

6.1 Every business owner must ensure that information submitted to KPDir is accurate, lawful, and not misleading.

6.2 Business owners must not publish:

  • Fake business names or fabricated business identities.
  • False addresses or unauthorized business locations.
  • Misleading claims about products, services, experience, qualifications, or certifications.
  • False offers, discounts, rankings, awards, or guarantees.
  • Content designed to impersonate another business.
  • Information that violates third-party intellectual property rights.
  • Content prohibited by law or these Terms.

6.3 Business owners must have the right and authority to publish all submitted information.

6.4 Business owners must promptly update or request correction of information that becomes inaccurate.

6.5 KPDir may request supporting information, clarification, or verification before publishing or continuing to display a listing.

6.6 KPDir may reject, modify, restrict, unpublish, or remove content that violates these Terms, applicable law, or legitimate platform safety requirements.

6.7 KPDir does not guarantee that every submitted listing will be approved, indexed, displayed, ranked, or retained for a particular period.


7. KYC AND BUSINESS VERIFICATION

7.1 KPDir may require identity, ownership, contact, business, or other verification before approving or maintaining a listing or providing certain Paid Services.

7.2 Verification requirements may vary depending on:

  • Business category.
  • Service type.
  • Account activity.
  • Risk indicators.
  • Applicable legal obligations.
  • Payment or commercial requirements.

7.3 Users must submit genuine, valid, and authorized documents.

7.4 Submitting a document does not guarantee approval.

7.5 KPDir may reject or pause verification if documents are incomplete, unclear, expired, inconsistent, suspicious, unauthorized, or otherwise insufficient.

7.6 KPDir may request additional documents or clarification where reasonably necessary.

7.7 Users must not submit documents belonging to another person without lawful authorization.

7.8 KPDir may use verification providers or service providers where legally permitted and appropriate safeguards are implemented.

7.9 Verification does not guarantee the ongoing legitimacy, financial stability, quality, performance, or legal compliance of a business.

7.10 KPDir may suspend or remove a listing if material information is false, misleading, or no longer verifiable.

7.11 KYC data shall be handled according to the applicable Privacy Policy and legal requirements.

7.12 KPDir shall not claim that any KYC procedure provides absolute fraud prevention or complete identity assurance.


8. USER CONTENT AND OWNERSHIP

8.1 Users retain ownership of content they lawfully own and submit to KPDir.

8.2 By submitting content, you grant KPDir a non-exclusive, worldwide, royalty-free license, for the duration permitted by applicable law and as reasonably necessary to operate the Platform, to host, reproduce, format, display, distribute, and promote that content in connection with the services.

8.3 This license does not transfer ownership of your trademarks or content to KPDir.

8.4 You represent that:

  • You own or are authorized to use the submitted content.
  • The content does not violate another party’s rights.
  • The content does not contain unlawful or misleading material.
  • You have obtained necessary permissions for identifiable individuals, where required by law.

8.5 KPDir may remove or restrict content where it receives a valid legal complaint, identifies a policy violation, or is required to do so by law.

8.6 KPDir may retain necessary records of removed content for legal, security, fraud prevention, dispute resolution, or compliance purposes, subject to applicable law and its retention policy.


9. PROHIBITED ACTIVITIES

Users are strictly prohibited from using KPDir to:

  1. Conduct fraud, scams, deception, or unlawful financial activity.
  2. Submit fake or manipulated business documents.
  3. Misrepresent identity, ownership, qualifications, or authority.
  4. Publish content promoting unlawful products or services.
  5. Engage in money laundering, terrorist financing, or other prohibited activities.
  6. Upload malware, harmful code, or malicious files.
  7. Attempt unauthorized access to accounts, systems, or administrative areas.
  8. Scrape, copy, harvest, or extract data in violation of applicable law or platform restrictions.
  9. Manipulate search rankings, reviews, ratings, clicks, leads, or listing visibility.
  10. Use bots or automated systems to interfere with platform operations without authorization.
  11. Send spam, abusive communications, or unsolicited promotional messages in violation of law.
  12. Upload content that infringes intellectual property, privacy, or other legal rights.
  13. Use KPDir for harassment, threats, intimidation, or unlawful discrimination.
  14. Circumvent account restrictions, security measures, or enforcement actions.
  15. Use another person’s account or identity without authorization.
  16. Engage in any activity that could harm users, the Platform, or third parties.

KPDir may take proportionate action, including content removal, account restriction, suspension, termination, or reporting to competent authorities, where legally appropriate.


10. FREE LISTINGS

10.1 KPDir may offer free listing services subject to eligibility, availability, and platform rules.

10.2 Free listing availability does not create a perpetual contractual guarantee that the service will remain free.

10.3 KPDir may introduce reasonable eligibility requirements, usage limits, verification requirements, or changes to free services.

10.4 Free listings may have limited features, visibility, support, or promotional benefits.

10.5 KPDir does not guarantee a specific number of visitors, calls, WhatsApp enquiries, leads, sales, customers, or revenue from a free listing.

10.6 Any applicable paid upgrade shall be governed by the specific Paid Service terms and the applicable payment and refund policy.


11. PAID SERVICES AND SUBSCRIPTIONS

11.1 KPDir may provide premium listings, featured placement, advertising, verification-related services, subscription plans, or other Paid Services.

11.2 Before payment, the applicable service description, price, taxes where applicable, duration, renewal terms, and material conditions should be made available to the user.

11.3 A payment does not automatically guarantee:

  • A fixed number of leads.
  • A fixed number of calls or messages.
  • A particular search ranking.
  • A specific sales volume.
  • Customer conversion.
  • Business growth.
  • Uninterrupted service availability.
  • Guaranteed approval where approval or verification is required.

11.4 Any service-specific benefit must be interpreted according to its published scope and express terms.

11.5 KPDir may change pricing for future purchases or renewal periods, subject to applicable law and required notice.

11.6 If a service is unavailable or cannot be provided as contractually promised, KPDir shall handle the issue in accordance with applicable law and its published policies.

11.7 Users must not purchase Paid Services for unlawful activity or on behalf of a person without the required authority.


12. PAYMENT TERMS

12.1 Payments must be made through payment methods authorized or made available by KPDir.

12.2 Users are responsible for entering correct payment and billing information.

12.3 Users must not use stolen cards, unauthorized payment instruments, fraudulent identities, or payment methods belonging to another person without permission.

12.4 KPDir may use third-party payment processors. Payment processing may be subject to the processor’s own terms and privacy practices.

12.5 KPDir does not request users to disclose card PINs, OTPs, passwords, or other confidential authentication information through unauthorized communication channels.

12.6 Users must not deliberately initiate fraudulent chargebacks, false payment disputes, or misleading claims.

12.7 Legitimate payment disputes and chargebacks may be investigated using available transaction records and relevant evidence.

12.8 If a payment is reversed, disputed, or charged back, KPDir may review the transaction and take proportionate action where permitted by law.

12.9 Any outstanding amount that is lawfully due may remain payable after account suspension or termination.

12.10 Nothing in these Terms authorizes KPDir to unlawfully retain money or restrict a consumer’s mandatory legal rights.


13. REFUND, CANCELLATION AND PAYMENT REVERSAL

13.1 Refund and cancellation rights are governed by the applicable Refund & Cancellation Policy, service-specific terms, and mandatory legal requirements.

13.2 A refund is not automatically available merely because a user changes their mind, fails to use a service, or does not achieve the commercial outcome they expected, except where required by applicable law or expressly promised.

13.3 Users should review the applicable refund policy before purchasing a Paid Service.

13.4 A request for refund should include:

  • Order or transaction reference.
  • Registered email or phone number.
  • Date of payment.
  • Relevant reason and supporting information.

13.5 KPDir may review refund requests based on service status, transaction records, policy terms, and applicable law.

13.6 Where a payment fails but money is debited, the issue may require reconciliation with the payment processor or banking institution.

13.7 Duplicate payments, unauthorized transactions, technical errors, or non-delivery of a paid service shall be handled in accordance with applicable legal obligations and the relevant transaction circumstances.

13.8 KYC rejection alone does not create an automatic right to retain every payment. The effect on payment depends on the service purchased, the disclosed contractual terms, the reason for rejection, and applicable law.

13.9 KPDir may not exclude or restrict mandatory consumer protection, statutory refund, or other non-waivable rights.

13.10 Any published no-refund provision shall be interpreted subject to applicable law.


14. PROMOTIONAL OFFERS AND DISCOUNTS

14.1 KPDir may offer discounts, promotional campaigns, limited-period pricing, coupons, or special packages.

14.2 Promotional offers may be subject to eligibility, availability, validity periods, and specific conditions.

14.3 A promotion must not be interpreted as a guarantee of future pricing or permanent availability.

14.4 KPDir may correct clear typographical, technical, or pricing errors in accordance with applicable law.

14.5 Promotional claims shall not be interpreted as guarantees of business performance, sales, or customer acquisition.

14.6 Material offer conditions should be presented clearly before purchase.


15. LISTING VISIBILITY, SEARCH RANKING AND FEATURED PLACEMENT

15.1 KPDir may provide standard, premium, sponsored, or featured listing placements.

15.2 Search results and listing visibility may depend on factors including relevance, category, location, availability, content quality, verification status, platform configuration, and promotional arrangements.

15.3 Paid placement does not necessarily mean a business is independently recommended, endorsed, or verified beyond the stated verification scope.

15.4 KPDir does not guarantee a fixed ranking, continuous top position, specific search placement, or a particular volume of traffic.

15.5 Any statement such as “priority ranking” or “featured listing” must be understood according to the actual service specification and applicable terms.

15.6 KPDir may update ranking systems and presentation formats for legitimate operational, quality, safety, or business reasons, subject to contractual and legal obligations.


16. LEADS, CALLS, WHATSAPP AND CUSTOMER CONTACT

16.1 KPDir may offer tools that enable users to contact listed businesses through calls, messaging, WhatsApp links, enquiry forms, or other communication channels.

16.2 KPDir does not guarantee that a lead is genuine, qualified, exclusive, interested, or likely to convert into a sale.

16.3 Businesses are responsible for handling customer enquiries lawfully and professionally.

16.4 Businesses must not misuse customer contact information, send unlawful spam, or engage in harassment or deceptive communications.

16.5 Users must comply with applicable privacy, telemarketing, consumer protection, and communications laws.

16.6 KPDir is not automatically a party to contracts formed between a listed business and a customer.

16.7 Any customer-business dispute should ordinarily be addressed between the relevant parties, without limiting KPDir’s obligations under applicable law.


17. BUSINESS TRANSACTIONS AND THIRD-PARTY SERVICES

17.1 KPDir may help users discover businesses but does not necessarily participate in transactions between them.

17.2 Users are responsible for independently checking:

  • Business identity.
  • Pricing.
  • Product or service quality.
  • Licenses and qualifications.
  • Delivery commitments.
  • Warranty and return terms.
  • Payment arrangements.
  • Contractual obligations.

17.3 KPDir does not guarantee the performance, quality, reliability, legality, solvency, or conduct of every listed business.

17.4 KPDir is not responsible for a third-party business’s failure to deliver a product, perform a service, honor a promise, or provide a refund, except to the extent responsibility is imposed on KPDir by applicable law.

17.5 Users should not transfer money or share sensitive information solely because a business appears on the Platform.

17.6 Third-party websites, applications, payment services, and external links may be governed by separate terms and privacy policies.


18. REVIEWS, RATINGS AND FEEDBACK

18.1 Reviews and ratings must reflect genuine user experiences and must not be fabricated or manipulated.

18.2 Users must not:

  • Buy or sell fake reviews.
  • Post reviews on behalf of another person without authorization.
  • Publish defamatory or knowingly false claims.
  • Threaten businesses to obtain benefits.
  • Use reviews to harass or discriminate unlawfully.
  • Coordinate artificial rating manipulation.

18.3 KPDir may establish review moderation rules and take action against content that violates policy or applicable law.

18.4 A review removal decision does not automatically establish that every disputed statement is false. Moderation may involve policy and evidence-based assessments.

18.5 Users should submit complaints with relevant information and supporting evidence.

18.6 KPDir may retain records relevant to fraud prevention, dispute resolution, legal obligations, and moderation.


19. INTELLECTUAL PROPERTY

19.1 KPDir’s software, branding, logos, website design, original text, layout, graphics, and platform materials may be protected by applicable intellectual property laws.

19.2 Users must not copy, reproduce, modify, sell, distribute, reverse engineer, or commercially exploit KPDir’s protected materials without authorization, except as permitted by law.

19.3 KPDir does not claim ownership of third-party trademarks, logos, or content merely because they appear in a business listing.

19.4 Users must ensure they have appropriate rights to content they submit.

19.5 If you believe content on KPDir infringes your rights, you may contact KPDir with relevant details and supporting evidence.

19.6 KPDir may investigate and take legally appropriate action, including removal or restriction of disputed material where warranted.


20. PRIVACY AND PERSONAL DATA

20.1 KPDir may collect and process personal or business information in accordance with its Privacy Policy and applicable law.

20.2 Data collection should be limited to information reasonably necessary for specified and lawful purposes.

20.3 Users must review the Privacy Policy before submitting personal information or documents.

20.4 KPDir may use service providers for hosting, security, analytics, payment processing, communication, verification, and other legitimate operational purposes, subject to applicable legal requirements.

20.5 KYC information must not be used or disclosed beyond permitted purposes and applicable legal requirements.

20.6 Users may have rights concerning access, correction, deletion, consent withdrawal, or other data-related matters, depending on applicable law.

20.7 Data retention, security safeguards, and deletion practices shall be governed by the Privacy Policy, legal requirements, and legitimate operational needs.

21. SECURITY AND RESPONSIBLE DISCLOSURE

21.1 Users must not attempt unauthorized access to KPDir systems, databases, administrative panels, or infrastructure.

21.2 Users must not introduce malicious software, overload services, bypass security controls, or exploit vulnerabilities unlawfully.

21.3 Suspected security vulnerabilities should be reported through the official security contact channel where available.

21.4 Reports should contain sufficient technical information to allow investigation and should not include unnecessary personal data.

21.5 KPDir may take security measures, including rate limiting, access restrictions, monitoring, or account suspension, where reasonably necessary and lawful.


22. SERVICE AVAILABILITY AND TECHNICAL INTERRUPTIONS

22.1 KPDir aims to provide a reliable platform but does not guarantee uninterrupted, error-free, or permanently available service.

22.2 Service interruptions may occur due to:

  • Maintenance.
  • Hosting or infrastructure failures.
  • Network problems.
  • Cybersecurity incidents.
  • Third-party service outages.
  • Government or legal restrictions.
  • Force majeure events.

22.3 KPDir may perform maintenance, updates, or security improvements.

22.4 KPDir shall handle applicable contractual obligations and legally required remedies where a service is unavailable or materially fails to meet a legally binding promise.

22.5 Users must maintain appropriate backups of information they submit or rely on.


23. DISCLAIMER OF WARRANTIES

23.1 To the maximum extent permitted by applicable law, the Platform and its general informational content are provided subject to their stated terms and service scope.

23.2 KPDir does not guarantee that:

  • All listing information is complete or accurate.
  • Every business is independently vetted.
  • The Platform will be free from every error or security threat.
  • A business listing will produce leads, sales, or revenue.
  • A particular service will be suitable for every user.
  • Search ranking or visibility will remain unchanged.
  • Every third-party business will fulfill its promises.

23.3 Any express service-specific promise made by KPDir remains subject to its actual scope, applicable terms, and mandatory law.

23.4 Nothing in this section excludes liability that cannot lawfully be excluded.


24. LIMITATION OF LIABILITY

24.1 To the maximum extent permitted by applicable law, KPDir’s liability shall be limited to the nature and scope of the service provided and the loss directly attributable to a proven breach or legally actionable act.

24.2 KPDir shall not be responsible for losses arising solely from:

  • A user’s inaccurate information.
  • A third-party business’s independent conduct.
  • A user’s failure to verify information.
  • Unlawful activity by another user.
  • A third party’s independent system failure.
  • Events outside KPDir’s reasonable control.

24.3 Nothing in these Terms excludes or limits liability for matters that cannot legally be excluded or limited, including applicable statutory consumer rights, fraud, or other non-excludable liability.

24.4 Any monetary liability limitation must be reviewed against applicable law and the specific transaction. It must not be assumed that a blanket exclusion or nominal cap is enforceable in every case.

24.5 Users remain responsible for complying with these Terms and applicable law.


25. INDEMNIFICATION

25.1 To the extent permitted by applicable law, a user may be required to indemnify KPDir and its relevant officers, employees, and service providers for third-party claims, losses, liabilities, costs, and reasonable legal expenses arising directly from:

  • The user’s unlawful conduct.
  • Material breach of these Terms.
  • Fraudulent or misleading business information.
  • Unauthorized use of third-party content.
  • Infringement of third-party rights.
  • Misuse of customer data.
  • Unauthorized transactions or activity conducted by the user.

25.2 This clause shall not require indemnification for losses caused by KPDir’s own unlawful conduct, negligence where liability cannot be excluded, or other matters that cannot lawfully be transferred to the user.

25.3 KPDir may provide reasonable notice and cooperation regarding claims where appropriate.

25.4 The scope and enforcement of this clause are subject to applicable law.


26. SUSPENSION, REMOVAL AND TERMINATION

26.1 KPDir may suspend, restrict, remove, or terminate an account or listing where reasonably necessary due to:

  • Material breach of these Terms.
  • Fraud or suspected fraudulent activity.
  • False documents or identity misrepresentation.
  • Security threats.
  • Illegal content or activity.
  • Repeated abuse or policy violations.
  • Legal or regulatory requirements.
  • Failure to complete required verification.

26.2 Where appropriate and legally permissible, KPDir may provide notice or an opportunity to address a violation.

26.3 Immediate action may be taken where delay could cause harm, compromise security, facilitate fraud, or violate legal obligations.

26.4 Termination does not automatically cancel obligations that by their nature should continue after termination.

26.5 Users may request account closure through the available official process.

26.6 Closing an account does not necessarily require immediate deletion of records that KPDir is legally required or legitimately permitted to retain.

26.7 Any eligible refund or other remedy shall be governed by applicable policy and law.


27. COMPLAINTS AND GRIEVANCE REDRESSAL

27.1 Users may submit complaints regarding listings, payments, verification, privacy, content, or other Platform-related issues through official contact channels.

27.2 A complaint should include sufficient information to identify the issue, such as:

  • Name and contact details.
  • Listing or account information.
  • Transaction reference, if applicable.
  • Description of the complaint.
  • Supporting documents or evidence.

27.3 KPDir may request clarification or additional information.

27.4 Complaints shall be handled through an appropriate internal process, subject to applicable legal obligations and available remedies.

27.5 Where a specific grievance officer or legal contact is required, KPDir shall publish the applicable details.

27.6 Submission of a complaint does not guarantee a particular outcome.


28. LEGAL NOTICES AND COMMUNICATION

28.1 KPDir may communicate with users through registered email, account notifications, website notices, or other lawful channels.

28.2 Users must keep contact information current.

28.3 Users should review relevant notices and service-specific terms before purchasing or using a service.

28.4 Legal notices shall be sent through the appropriate contact details and procedures required by applicable law.

28.5 A user must not impersonate KPDir or issue unauthorized notices on its behalf.


29. CHANGES TO THESE TERMS

29.1 KPDir may update these Terms from time to time to reflect changes in services, technology, business operations, or legal requirements.

29.2 Updated Terms should include a revised effective or last-updated date.

29.3 Material changes should be communicated through appropriate means where required by law.

29.4 Continued use after an effective update may constitute acceptance only to the extent permitted by applicable law and the manner of notice provided.

29.5 If you do not agree to a material change, you should discontinue use of the affected service and review available cancellation or other applicable rights.


30. GOVERNING LAW AND JURISDICTION
